Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen en overeenkomsten die daaruit voortvloeien tussen Bergfort B.V. te Woerden, Kamer van Koophandel 73905941 en haar wederpartijen (“Opdrachtgever”). Bepalingen of voorwaarden gesteld door Opdrachtgever die afwijken van, of niet voorkomen in, deze algemene voorwaarden zijn voor Bergfort B.V. alleen bindend indien en voor zover dat uitdrukkelijk schriftelijk is aanvaard
Article 1: Offer and acceptance
Bergfort B.V. prepares a quotation in which Bergfort B.V. indicates which activities (referred to as "the services") it offers to perform, what is included in the Services, and what amount will be due for that. Only the description of the Services specified in the quotation is binding.
Only services mentioned in the quotation will be performed.
A quotation is entirely non-binding and valid for 14 days from the date of issue, unless otherwise stated in the quotation. Bergfort B.V. can never be obliged to accept an acceptance after this period, but if Bergfort B.V. does so, the quotation is still considered accepted.
The agreement is concluded at the moment the notification containing acceptance of the quotation from the Client is received by Bergfort B.V.
If the Client does not explicitly indicate agreement with the quotation, but nonetheless agrees or gives the impression that Bergfort B.V. is performing work that falls within the description of the Services, then the quotation is considered accepted. This also applies when the Client requests Bergfort B.V. to perform certain work without waiting for a formal quotation.
Changing the Services is only possible with the consent of both parties, unless otherwise specified elsewhere in these terms.
Bergfort B.V. will issue a suitable quotation for requests for additional work.
Article 2: Delivery of the Services
After the agreement has been established, the Services will be carried out by Bergfort B.V. in accordance with the quotation, taking into account the reasonable wishes of the Client. The Client is obliged to do and refrain from doing all that is reasonably desirable and necessary to enable the proper and timely execution of the Services. In particular, the Client shall ensure that all data, which Bergfort B.V. indicates is necessary or which the Client should reasonably understand to be necessary for the execution of the Services, is provided to Bergfort B.V. in a timely manner. The Client will grant Bergfort B.V. access to all locations, services, and accounts under its management (such as, but not limited to, accounts, server access, location access, or network access) that Bergfort B.V. reasonably needs to deliver the Services. Bergfort B.V. guarantees that the Services will be performed carefully, thoroughly, and to the best of its ability. If a proper execution of the Services requires this, Bergfort B.V. has the right to have certain work carried out by third parties. Bergfort B.V. is and remains responsible to the Client. Bergfort B.V. is entitled, but never obliged, to investigate the accuracy, completeness, or coherence of the source materials, requirements, or specifications made available to it and, upon discovering any deficiencies, to suspend the agreed work until the Client has remedied the relevant deficiencies. Unless otherwise agreed, Bergfort B.V. is not a party to the provision of services from third parties, such as software licenses or hosting that are necessary for the Services, even if Bergfort B.V. procures these services for the benefit of the Client. Bergfort B.V. has the right to (temporarily) not provide or limit the provision of the Services if the Client fails to fulfill an obligation towards Bergfort B.V. regarding the agreement or acts in violation of these general terms and conditions.
Article 3: Development of Works
Indien een Dienst strekt tot het ontwikkelen, configureren en/of aanpassen van Werken zoals, maar niet uitputtend, websites, databestanden, software, documentatie, adviezen, rapporten, analyses, ontwerpen, teksten, foto’s, films, geluidsopnamen, afbeeldingen, audiovisueel materiaal, logo’s of huisstijlen (hierna: “Werken”), heeft Bergfort B.V., tenzij anders overeen gekomen, het recht gebruik te maken van afbeeldingen, software en componenten van derden bij de ontwikkeling, configuratie of aanpassing van Werken.
Het is Bergfort B.V. toegestaan gebruik te maken van open source software waarvan de rechten bij derden liggen. Dit betekent onder meer dat Bergfort B.V. open source software mag leveren aan Opdrachtgever en open source software mag verwerken in Werken die Bergfort B.V. maakt of aanpast in het kader van een Dienst. Indien de licentie van bepaalde open source software met zich meebrengt dat Opdrachtgever (delen van) de software alleen als open source kan verspreiden, zal Bergfort B.V. Opdrachtgever schriftelijk afdoende informeren over alle van toepassing zijnde licentievoorwaarden.
Na oplevering ligt de verantwoordelijkheid op een correcte naleving van de betreffende licenties van derden bij het gebruik van de ontwikkelde Werken bij Opdrachtgever.
Article 4: Delivery and Acceptance
Bergfort B.V. will deliver the result after the execution of work or parts thereof when, in its professional opinion, it meets the specifications or is suitable for use. The Client must then evaluate the delivered work within 14 days of delivery and approve or reject it. If the Client does not reject the delivered work within this period, it is deemed to be accepted.
If work is delivered in phases, the Client must provide approval or rejection of the part of the work from that phase after delivery in the manner specified in the previous paragraph. The Client may not base approval or rejection in a later phase on aspects that were approved in an earlier phase.
If the Client rejects the delivered work in whole or in part, Bergfort B.V. will make every effort to address the reason for rejection as soon as possible. Bergfort B.V. can do this by revising the result or by providing a reasoned explanation as to why the reason does not apply. The Client then has another 14 days to approve or reject the revision or explanation.
If the Client continues to reject the delivered work after reasonably multiple revisions, both parties have the right to terminate the agreement in whole or in part. In that case, the Client must compensate for the actual work performed. The Client may only continue to use the results of the work already obtained with the written permission of Bergfort B.V.
After acceptance of the delivered work, all liability for defects in the delivered work ceases, unless Bergfort B.V. was aware of or should have been aware of the defect at the time of acceptance. In any case, all liability for defects in the delivered work ceases one year after delivery.
Article 5: Duration and Termination
The agreement is entered into for the duration specified in the quotation, failing which a duration of one year applies. The agreement cannot be terminated prematurely, except as provided in the agreement or these general terms and conditions. The fixed-term agreement will be automatically extended for the duration of the original period unless either party terminates the agreement no later than one month before the end of the relevant period. The agreement may be terminated by either party without further notice with immediate effect if: the other party is declared bankrupt; the other party applies for suspension of payments; the business of the other party is liquidated or terminated other than for the purpose of restructuring or merging businesses; the decisive control over the business of the other party changes; the other party fails to fulfill essential obligations under the agreement. In the event of termination of the agreement, the following provisions shall remain in force: confidentiality, intellectual property, liability, applicable law, and disputes. Amounts already invoiced by Bergfort B.V. for the termination remain due and are immediately payable upon termination.
Article 6: Liability
De totale aansprakelijkheid van Bergfort B.V. wegens een toerekenbare tekortkoming in de nakoming van de overeenkomst is beperkt tot vergoeding van directe schade tot maximaal het bedrag dat in het desbetreffende geval door de afgesloten aansprakelijkheidsverzekering van Bergfort B.V. wordt uitbetaald. Indien om welke reden dan ook geen uitkering krachtens bedoelde verzekering plaatsvindt, is iedere aansprakelijkheid beperkt tot de vergoeding van directe schade tot maximaal het bedrag dat door Bergfort B.V. aan Opdrachtgever in het kader van de overeenkomst in de zes maanden voorafgaand aan het ontstaan van de schade in rekening is gebracht.
Aansprakelijkheid van Bergfort B.V. voor indirecte schade, gevolgschade, gederfde winst, gemiste besparingen, verminderde goodwill, schade door bedrijfsstagnatie en schade door verminking of verlies van gegevens is uitgesloten.
Bergfort B.V. is niet aansprakelijk voor schade, van welke aard dan ook, doordat Bergfort B.V. is uitgegaan van door Opdrachtgever verstrekte onjuiste en/of onvolledige gegevens.
De in dit artikel genoemde uitsluitingen en beperkingen komen te vervallen indien en voor zover de schade het gevolg is van opzet of bewuste roekeloosheid van Bergfort B.V. of haar leidinggevenden.
Behoudens in het geval van opzet of bewuste roekeloosheid van Bergfort B.V., zal Opdrachtgever Bergfort B.V. vrijwaren voor alle aanspraken van derden, direct of indirect verband houdende met de Diensten of het gebruik daarvan door Opdrachtgever.
Article 7: Force Majeure
Neither party is obliged to fulfill any obligation if they are prevented from doing so due to force majeure. Force majeure is also understood to include: disruptions in the internet connection, disruptions in the telecommunications infrastructure, network attacks (such as (D)DoS attacks), power outages, civil unrest, mobilization, war, transportation disruptions, strikes, lockouts, business interruptions, supply chain delays, fire, flooding, import and export barriers, and in the event that Bergfort B.V. is unable to deliver due to its own suppliers, regardless of the reason, making it unreasonable to demand performance of the agreement from Bergfort B.V.
If a force majeure situation lasts longer than ninety days, the parties have the right to terminate the agreement by written dissolution. What has already been performed under the agreement will then be settled proportionately, without either party owing anything further to the other.
Article 8: Confidentiality
Partijen zullen informatie die zij voor, tijdens of na de uitvoering van de overeenkomst aan elkaar verstrekken vertrouwelijk behandelen wanneer deze informatie als vertrouwelijk is aangeduid of wanneer de ontvangende partij weet of redelijkerwijs kan vermoeden dat de informatie als vertrouwelijk bedoeld was. Partijen leggen deze verplichting tevens op aan hun werknemers alsmede aan door hen ingeschakelde derden ter uitvoering van de overeenkomst.
Bergfort B.V. zal geen kennis nemen van gegevens die Opdrachtgever opslaat en/of verspreidt via de systemen van Bergfort B.V., tenzij dit noodzakelijk is voor een goede uitvoering van de overeenkomst of Bergfort B.V. daartoe verplicht is krachtens een wettelijke bepaling of gerechtelijk bevel. In dat geval zal Bergfort B.V. zich inspannen de kennisname van de gegevens zoveel mogelijk te beperken, voor zover dit binnen haar macht ligt.
De verplichting tot vertrouwelijkheid blijft ook na beëindiging van de overeenkomst van kracht zolang de verstrekkende partij de informatie als vertrouwelijk kan aanmerken.
Article 9: Intellectual Property
All rights of intellectual property in all Works developed or made available in the context of the agreement are exclusively held by Bergfort B.V. or its licensors. The Client is not permitted to remove or modify any designation regarding copyrights, trademarks, trade names, or other intellectual property rights from the Works, including designations regarding the confidential nature and secrecy of the Works. Bergfort B.V. may take technical measures to protect the Works. If Bergfort B.V. has secured the Works through technical protection, the Client is not permitted to remove or circumvent this protection. A right granted to the Client for use is non-exclusive, non-transferable, and may not be sublicensed.
Article 10: Prices and Payment
Bergfort B.V. reserves the right to adjust the prices of the Services it provides from time to time. Price changes also apply to already concluded agreements. In such cases, the Client has the right to terminate the agreement if the price increase exceeds 10%, unless this price increase results from the law. Bergfort B.V. will notify the Client in writing of its intention to increase the price. Bergfort B.V. will specify the extent of the increase and the date on which the increase will take effect. The prices quoted by Bergfort B.V. are exclusive of VAT and other charges imposed by the government. Bergfort B.V. will send an invoice to the Client for the amount due. The payment term for this invoice is 14 days from the invoice date, unless otherwise agreed in writing. If the Client does not pay the amounts due within the agreed term, the Client is in default without further notice of default. The Client will then owe statutory commercial interest. If the Client remains negligent in fulfilling the claim after notice of default, the claim may be assigned to a third party, in which case the Client will also be liable for all judicial and extrajudicial costs, including costs incurred by external experts in addition to the costs determined by law.
Article 11: Applicable law and disputes
Dutch law applies to the agreement. The applicability of the Vienna Sales Convention (CISG) is excluded. Any disputes arising between the parties in connection with the agreement will be submitted to the competent court in the district where Bergfort B.V. is located.
Article 12: Final Provisions
If any provision of these general terms and conditions is found to be invalid, this shall not affect the validity of the remaining provisions. The parties shall enter into discussions to agree on a new provision that takes into account the purpose and intent of the invalid provision as much as possible.
The version of any communication or information received or stored by Bergfort B.V. shall be deemed authentic, unless proven otherwise by the Client.
The Client and Bergfort B.V. shall only transfer their rights and obligations under the agreement to a third party with the written consent of the other party.
